All supplies by Friulana Cuscinetti Srl are made solely and exclusively under the general terms of sale set out below.

Any clause or condition set by the Customer is null and void unless previously accepted by Friulana Cuscinetti Srl.

1. ORDERS

Every order following an offer must reach Friulana Cuscinetti Srl within the deadline stated in the offer. Once that deadline has passed, Friulana Cuscinetti Srl may consider its offer no longer valid. All orders must always specify the quantity and exact name of the products. Orders are always firm and binding on the customer, and become binding on Friulana Cuscinetti Srl when the order confirmation is sent, subject to the exceptions in clause 4 below. Any changes to and/or cancellations of orders placed must always be requested by the customer in writing only, and are subject to our assessment and possible acceptance.

No penalty of any kind relating to the fulfilment of orders received by us is accepted.

2. DELIVERY AND SHIPPING

Delivery is always ex our premises and is deemed to have taken place when the goods are handed over directly to the customer or to the carrier, regardless of whether the carrier is chosen by Friulana Cuscinetti Srl or by the customer.

Shipments are always made on behalf of the customer and at the customer’s risk, even when the delivery terms are “free at destination”, except where Friulana Cuscinetti delivers with its own vehicles. The packing method and materials are at the discretion of Friulana Cuscinetti Srl.

3. PRICES

All prices are for goods ex Friulana Cuscinetti Srl warehouse, packing excluded. Should the costs of materials or other factors increase during the supply, we reserve the right to change prices from the dates on which such increases took effect.

4. DELIVERY TIMES

The delivery times stated by Friulana Cuscinetti Srl, although met as far as possible, are purely indicative and may vary in the following situations:

1) insufficient, inaccurate or late information from the customer needed to carry out the order;

2) force majeure, such as lack or shortage of power, total or partial strikes and any event not attributable to Friulana Cuscinetti Srl;

3) any changes accepted by Friulana Cuscinetti Srl after receipt of the order;

4) failure by the customer to meet the payment terms.

Our Company will not accept any penalty for late delivery due to the causes listed above.

5. PAYMENTS

Payments must be made as specified in the order.

Once the agreed payment term has expired, without prejudice to the right to demand payment, Friulana Cuscinetti Srl will charge default interest at the rate set by Legislative Decree 231/02. Friulana Cuscinetti Srl also reserves the right to suspend delivery of goods still on order or to cancel the remainder of the order, notifying the customer, who will not be entitled to any compensation or indemnity, without prejudice to all our other rights.

6. COMPLAINTS AND RETURNS

Claims for any tampering with or shortage of goods must always be made by the consignee to the carrier. The consignee must report visible defects within eight days of receipt and hidden defects within eight days of their discovery. A complaint can never lead to the cancellation or reduction of the order by the customer, nor to the payment of any compensation by Friulana Cuscinetti Srl, nor in any case to payment after the agreed due date.

Any return of goods must always be agreed in advance with our Sales Office, even in the case of an incorrect delivery on our part, and can only be accepted if the goods and their packaging are in perfect condition. Disputed goods must be returned to us carriage paid, with a delivery note stating the reasons for the return.

7. WARRANTY

The Friulana Cuscinetti Srl warranty lasts one year from the date of delivery of the goods. It is limited exclusively to the free repair or replacement of parts acknowledged by Friulana Cuscinetti Srl as defective due to faulty material or workmanship. The consignee must report visible faults and defects within eight days of receipt and hidden ones within eight days of their discovery, or the warranty lapses. The Friulana Cuscinetti Srl warranty is void if the parts returned as defective have been tampered with or repaired in any way.

Friulana Cuscinetti Srl accepts no liability for damage resulting from accidental events of any kind occurring during the use of its products.

8. VALIDITY

These general terms of sale cancel and replace all previous ones.

Any exceptions to these general terms are valid only if specifically confirmed and accepted in writing by Friulana Cuscinetti Srl.                                     

9. REGISTERED OFFICE

The registered office of Friulana Cuscinetti Srl is deemed to be at its premises in Feletto Umberto (UD).

The court of Udine has sole jurisdiction, to the exclusion of any other.
